Welcome to Prommuni! These Terms of Use (“Terms”) govern your access to and use of the Prommuni website, mobile application, and related services (collectively, the “Platform”), which are operated by Prommuni, LLC, a Maryland limited liability company (“Prommuni,” “we,” “us,” or “our”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
1. Eligibility
You must be at least 18 years of age and legally competent to enter into binding contracts to use the Platform. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
You agree to:
(a) provide accurate, current, and complete account information,
(b) maintain the confidentiality of your credentials, and
(c) be fully responsible for all activities under your account.
You must notify us immediately of any suspected unauthorized use or security breach.
2.1. User Responsibilities
You agree to comply with all applicable federal, state, and local laws, including but not limited to:
• The Fair Housing Act and state-specific housing regulations
• Applicable landlord-tenant, subletting, or rental ordinances
• All anti-discrimination and equal opportunity laws
You are solely responsible for ensuring the legality of your listings, communications, agreements, and transactions. Prommuni does not provide legal advice, housing advice, or verify lease compliance.
3. Services Overview
Prommuni is a peer-to-peer platform that facilitates discovery and communication between users seeking roommates or sublease opportunities.
We do not own, manage, broker, endorse, or guarantee any listings, leases, or property arrangements. Prommuni is not a party to any agreement entered into between users. We do not provide legal, financial, or real estate advice.
4. Acceptable Use
You agree not to use the Platform to:
• Violate any law, regulation, or third-party right
• Post or transmit unlawful, harmful, discriminatory, or misleading content
• Impersonate any individual or organization
• Harvest data, deploy bots, or perform scraping or reverse engineering
• Facilitate fraud, scams, subletting violations, or false listings
• Infringe intellectual property, privacy, or publicity rights
Prommuni reserves the right to investigate and take legal action against violations, including suspension or termination of access.
5. Listings and Interactions
You are solely responsible for all content you submit, including listings, photos, descriptions, preferences, and messages. All such content must be:
• Accurate, complete, and not misleading
• Compliant with applicable lease terms and housing law
• Free from hate speech, threats, or harassment
We reserve the right, but not the obligation, to monitor, remove, or restrict content that violates these Terms or the law.
6. Fees and Payments
Certain features may require payment (e.g., promoted listings, verification tools, transaction services). You agree to pay all applicable fees and abide by third-party payment processor terms (e.g., Stripe). Pricing is subject to change with reasonable notice.
Unless explicitly stated, Prommuni does not collect rent or security deposits on behalf of users. Any financial transactions between users are conducted at your own risk.
7. Disclaimers
Prommuni is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee:
• Compatibility, trustworthiness, or availability of users
• Accuracy of listings or platform uptime
• Resolution of disputes between users
We are not responsible for loss of data, missed rental opportunities, housing conditions, or property damage. Nothing on the Platform constitutes legal or housing advice.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMMUNI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNTS YOU PAID PROMMUNI IN THE 12 MONTHS PRIOR TO THE CLAIM, OR
(b) ONE HUNDRED DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless Prommuni and its officers, directors, affiliates, employees, agents, and licensors from and against any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
• Your use or misuse of the Platform
• Your violation of these Terms or applicable law
• Any content or transaction facilitated through your account
10. Termination
We may suspend, restrict, or terminate your account or access to the Platform at our sole discretion and without notice if we believe you have violated these Terms or applicable law. You may delete your account at any time.
The termination of your account or these Terms will not affect any rights or obligations that accrued prior to termination.
Sections 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 11 (Governing Law & Dispute Resolution), 16 (DMCA Notice), 17 (Entire Agreement), and 18 (Severability) shall survive termination.
11. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Maryland, without regard to its conflict of law principles.
You and Prommuni agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration, administered by the American Arbitration Association under its Commercial Arbitration Rules, to be conducted in Maryland. This agreement to arbitrate is made at the time you first access or use the Platform, and survives account termination.
You agree to waive any right to bring or participate in class actions or consolidated proceedings.
Nothing in this section shall prevent either party from seeking injunctive or equitable relief to protect confidential information or prevent intellectual property misuse. If you reside in a jurisdiction that prohibits mandatory arbitration for consumer contracts, this section shall not apply to the extent prohibited by law.
12. Amendments to Terms
We may modify these Terms at any time. Material changes will be posted via notice on the Platform and, where feasible, via email at least 10 days prior to implementation. Your continued use after the effective date of the revised Terms constitutes your acceptance.
13. Third-Party Services
The Platform may integrate with third-party services (e.g., AWS, Clerk, Stripe). We do not control and are not responsible for their terms, privacy policies, or performance. Use of such services is at your own risk and governed by their respective terms.
14. Platform Availability
We strive to provide reliable access but do not guarantee uninterrupted service. We reserve the right to modify, restrict, or discontinue any part of the Platform at any time without liability.
15. DMCA Notice
If you believe that content on the Platform infringes your copyright, please notify us at contact@prommuni.com with the following:
• A description of the copyrighted work
• The location (URL) of the infringing content
• Your name, address, email, and phone number
• A statement that you have a good faith belief that the use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature
We may remove content in response to valid notices and will terminate repeat infringers.

17. Entire Agreement
These Terms constitute the entire agreement between you and Prommuni regarding your access to and use of the Platform and supersede all prior or contemporaneous understandings or agreements, whether oral or written. No waiver or modification shall be valid unless in writing and signed by both parties.
Prommuni adheres to the EU-U.S. Data Privacy Framework where applicable to ensure adequate protection of personal data transferred from the EU or EEA to the United States.
18. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.
19. Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce it in the future.
